Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within after written notice. Termination for convenience requires prior written notice and payment for all Services performed and expenses incurred to the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that in the course of performing this Agreement it may receive or have access to Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial or other proprietary information disclosed in any form. The receiving party shall: (a) hold Confidential Information in strict confidence and not disclose it to third parties except to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those herein; (b) use the Confidential Information solely for the performance of this Agreement; and (c) apply at least the same degree of care to protect Confidential Information as it uses to protect its own confidential materials, but in no event less than reasonable care. Confidentiality obligations survive termination for a period of three (3) years, except for trade secrets which shall remain protected for so long as they qualify as trade secrets.

WARRANTIES AND LIMITATION OF LIABILITY

Service Provider warrants that services will be performed in a professional manner consistent with generally accepted industry standards. EXCEPT FOR THE FOREGOING WARRANTY, SERVICES ARE PROVIDED "AS IS" AND NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF SERVICE PROVIDER FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS ORDER.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law rules. The parties consent to exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

ENTIRE AGREEMENT

This Client Order Form, including any attachments and accepted purchase orders incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral.
