Parties and Order Information

Recitals

WHEREAS Client wishes to procure goods and/or services from Service Provider as set forth in the Order List below and in the Scope of Work; and

WHEREAS Service Provider represents that it has the skill, personnel and resources necessary to perform and deliver the goods and services specified and agrees to provide such goods and services in accordance with the terms and conditions of this Client Order List and the governing Agreement herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the parties agree as follows.

Scope of Work

Detailed description of the goods and services to be provided under this Order List. Include deliverables, milestones, acceptance criteria and any exclusions.

Payment Terms

Client shall pay Provider for the goods and services described herein in accordance with the schedule and amounts set forth below. Payments must be made in cleared funds to the account designated by Provider unless otherwise agreed in writing.

Term and Termination

This Order List commences on the Start Date specified below and terminates on the End Date specified below, unless earlier terminated in accordance with the provisions of this section.

Either party may terminate this Order List for cause if the other party materially breaches any obligation and fails to cure such breach within the agreed notice period. Termination shall not relieve Client of the obligation to pay for goods delivered or services performed prior to termination.

Confidentiality

Each party acknowledges that in the course of performance it may obtain confidential or proprietary information of the other party ("Confidential Information"). Each party agrees to hold in confidence and not disclose Confidential Information to third parties except as required to perform its obligations under this Order List or as required by law.

Governing Law

This Order List shall be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes arising under this Order List.

Entire Agreement

This Client Order List, together with any documents expressly incorporated herein (including the Scope of Work and Payment Schedule), constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

Execution of this Order List by the parties below constitutes acceptance of the terms and creates a binding obligation to perform in accordance with the terms set forth herein.
