Either party may terminate this Order for convenience upon written notice delivered at least days prior to the effective termination date. Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information disclosed by the other party (the "Disclosing Party") except as required by law or as necessary to perform this Order. "Confidential Information" means non-public business, technical, financial, customer, or other information designated as confidential or which reasonably should be understood to be confidential given its nature. The Receiving Party shall use Confidential Information only for the performance of this Order and shall protect it with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidentiality obligations shall survive termination for a period of three (3) years.

6. Warranties and Remedies

Service Provider warrants that the goods and services provided under this Order will conform to the specifications set forth herein and will be provided in a professional and workmanlike manner. Except as expressly stated in this Order, Service Provider disclaims all other warranties, express or implied. Client's sole and exclusive remedies for breach of this warranty shall be re-performance or, if Service Provider fails to re-perform within a reasonable time, a refund of the amounts paid for the nonconforming portion of the goods or services.

7. Governing Law

This Order shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes arising under this Order.

8. Entire Agreement
