WHEREAS

WHEREAS the Service Provider provides the services and payment processing by pre-authorized debit (PAD) described in this Agreement; and

WHEREAS the Client wishes to engage the Service Provider to perform such services and hereby authorizes periodic debits from the Client's designated bank account as set forth herein; and

WHEREAS the parties intend for this Agreement to set forth the rights and obligations of the parties with respect to the services, payment, PAD authorization, confidentiality and termination.

PRE‑AUTHORIZED DEBIT (PAD) AUTHORIZATION

By signing this Agreement, the Client authorizes the Service Provider to initiate debit entries to the Client's account specified below for payment of amounts owing under this Agreement, including applicable fees. This authorization remains in effect until cancelled in accordance with the Cancellation and Revocation provisions below.

The Client represents and warrants that it is either the account holder or is authorized to provide this PAD authorization for the identified account, and that all information provided is accurate and complete.

CANCELLATION, REVOCATION AND NOTICES

This authorization may be cancelled by the Client at any time by providing written notice to the Service Provider at least prior to the next scheduled debit. Cancellation does not affect the Client's obligation to pay amounts accrued prior to cancellation.

The Service Provider may cancel this PAD authorization upon written notice to the Client if the Client's account information is invalid, debits are returned unpaid, or the Client is otherwise in material breach of this Agreement.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least prior to termination. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure within 15 days after written notice of such breach.

CONFIDENTIALITY

Each party will hold in strict confidence and will not disclose to any third party any Confidential Information of the other party except as required by law or with the prior written consent of the disclosing party. Confidential Information includes business plans, financial information, technical data, customer lists, and any information designated as confidential.

The obligations of confidentiality will survive termination of this Agreement for a period of three (3) years, except that trade secrets will be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement will be governed by and construed in accordance with the laws of , without regard to conflict of law principles. The parties agree that any dispute arising out of or relating to this Agreement will be subject to the exclusive jurisdiction of the courts located in that jurisdiction.

ENTIRE AGREEMENT

This Agreement, including attachments and any statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether oral or written. No amendment or modification will be binding unless in writing and signed by both parties.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Each party represents that it has full power and authority to enter into this Agreement. The Client agrees to indemnify and hold the Service Provider harmless from and against any claim, loss or liability arising from incorrect account information, revoked PAD authorization not provided in accordance with the notice requirements, or Client's breach of this Agreement.

ACKNOWLEDGMENT AND CLIENT CONSENT

The Client acknowledges receipt of a copy of this Agreement and consents to the initiation of debits to the specified account in accordance with the Payment Terms above. The Client understands that disputes regarding debits must be addressed to the Service Provider promptly and that rights and responsibilities relating to PAD are governed by applicable law.
