CLIENT PAD WORK AGREEMENT

This Client Pad Work Agreement ("Agreement") is entered into as of Effective Date: by and between Client Name: and Contractor Name: .

WHEREAS

WHEREAS, Client requires site pad preparation work, including but not limited to clearing, excavation, compaction, grading, and related site services (collectively, "Pad Work"); and

WHEREAS, Contractor represents that Contractor has the necessary licenses, experience, equipment, personnel and insurance to perform the Pad Work in accordance with the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth the scope, terms, payment and other conditions under which Contractor will perform the Pad Work for Client.

SCOPE OF WORK

Contractor shall provide the following services and deliverables in a professional and workmanlike manner consistent with industry standards:

PAYMENT TERMS

Client shall pay Contractor for the Pad Work in the amounts and according to the schedule set forth below. All sums are in lawful currency and are exclusive of applicable taxes unless otherwise stated.

Unless otherwise agreed in writing, Contractor shall submit written invoices itemizing work performed and materials supplied. Client shall pay undisputed amounts within the stated invoice period. Disputed amounts shall be subject to written notice and good faith resolution within fifteen (15) days.

TERM AND TERMINATION

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this Agreement, expires on End Date: .

Upon termination, Client shall pay Contractor for all work performed and reasonable demobilization costs through the effective date of termination. Contractor shall deliver all completed and partially completed work products to Client within a commercially reasonable time.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any non-public information, drawings, specifications, pricing, trade secrets or other proprietary information of the other party (the "Disclosing Party") disclosed in connection with this Agreement. Confidential information does not include information that (a) is or becomes public through no fault of the Receiving Party; (b) was rightfully in the Receiving Party's possession prior to receipt from the Disclosing Party; (c) is independently developed by the Receiving Party without use of the Disclosing Party's confidential information; or (d) is required to be disclosed by law or order of a court or regulatory authority, provided the Receiving Party gives prompt notice and cooperates to seek protective orders or other appropriate relief.

The Receiving Party shall use at least the same degree of care in protecting Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Contractor shall indemnify, defend and hold harmless Client from and against claims, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of Contractor's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by Client's negligence or breach. Except for indemnification obligations, in no event shall either party be liable for consequential, special or punitive damages. The aggregate liability of Contractor for claims arising out of this Agreement shall not exceed the total amount paid by Client to Contractor under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any dispute arising out of this Agreement shall be in the state or federal courts located in the county of the chosen governing law.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous oral or written agreements, proposals, representations and understandings. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.
