CLIENT PHONE AGREEMENT

Parties and Recitals

This Client Phone Agreement (the Agreement) is made effective as of by and between Client Name: (Client), and Service Provider: (Provider).

WHEREAS, Client desires Provider to supply and manage certain telephone services, devices and related support described herein; and

WHEREAS, Provider represents that it is duly qualified and experienced to provide such services and agrees to provide the services on the terms and conditions set forth in this Agreement.

Payment Terms

Client agrees to pay Provider the fees set forth below for services and equipment. Unless otherwise stated, all payments are due in U.S. dollars.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Provider may terminate immediately for material breach by Client, including nonpayment.

Confidentiality

Each party (Receiving Party) shall keep confidential and not disclose to any third party the Confidential Information of the other party (Disclosing Party). "Confidential Information" includes technical, business, financial and customer information disclosed in connection with the services, but does not include information that is publicly available through no breach of this Agreement, rightfully received from a third party, or independently developed.

The obligations of confidentiality shall survive termination of this Agreement for unless otherwise required by law.

Representations, Warranties and Limitations

Provider represents that it will provide services in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH HEREIN, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate in writing.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. The parties agree to attempt good faith negotiation to resolve disputes before initiating litigation.

Entire Agreement

This Agreement, together with any exhibits or schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings of the parties, whether written or oral.
