Payment Terms Additional Provisions: The Client agrees that all invoices undisputed in writing within seven (7) days of receipt shall be deemed accepted. Late payments shall accrue the stated Late Fee and may result in suspension of services until all outstanding amounts are paid in full.

Either party may terminate this Packet for any material breach by the other party if the breaching party fails to cure the breach within days after written notice. Either party may also terminate without cause upon days’ prior written notice.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in connection with the services. Confidential information does not include information that: (i) is or becomes publicly known through no breach of this Packet; (ii) is received from a third party without breach of any obligation of confidentiality; or (iii) is independently developed without use of the other party’s confidential information. The receiving party shall use at least the same degree of care to protect confidential information as it uses to protect its own confidential information, but in no event less than reasonable care.

Data Protection and Privacy

Provider will implement commercially reasonable administrative, physical, and technical safeguards to protect Client data. Provider will only process personal data on behalf of Client and in accordance with documented instructions. The parties shall cooperate to respond to any data subject request, lawful government request, or data breach notification obligations.

Cancellation and Refunds

Cancellation requests must be submitted in writing. Fees for services rendered prior to cancellation are non-refundable except as otherwise agreed in writing. Any prepaid fees for work not yet performed will be refunded minus reasonable costs and any non-recoverable third-party expenses.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party’s gross negligence or willful misconduct in the performance of its obligations under this Packet.

Governing Law

This Packet shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties at the time of execution. The parties agree that venue for any dispute arising hereunder shall be the courts located in that jurisdiction.

Entire Agreement

This Packet, including any attached statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and representations, whether written or oral. Any amendment or modification must be in writing and signed by both parties.
