Recitals

WHEREAS, Provider Name: operates services and/or business practices for which written policies govern client interactions, data handling, billing, and professional conduct; and

WHEREAS, Client Name: acknowledges receiving, reviewing, and understanding the Provider's policies as set forth in this receipt and any attachments referenced herein; and

WHEREAS, the parties wish to record the client's acknowledgement of those policies and to set forth related administrative terms and mutual assurances regarding confidentiality, payment, term, and governing law.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party in connection with services or policies acknowledged herein. Confidential Information excludes information that is (a) publicly known through no breach of obligation, (b) already lawfully known by the receiving party, or (c) independently developed without use of the disclosing party's Confidential Information. The obligation of confidentiality survives termination for a period of three years unless a longer period is required by applicable law.

Acknowledgement and Certification

By signing below, the undersigned certifies that they have received copies of the policies checked above, have had the opportunity to ask questions regarding those policies, and understand that compliance with such policies is a condition of the Provider's performance. The undersigned further acknowledges that the Provider may amend its policies from time to time and will provide notice of material changes in accordance with the Provider's amendment procedures.

Governing Law; Entire Agreement

This Receipt and any dispute arising out of or relating to it shall be governed by the laws of the State identified below, without regard to conflicts of law principles. This Receipt, together with any referenced policies and any written service attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and representations, whether written or oral.

Miscellaneous Provisions

If any provision of this Receipt is held invalid or unenforceable, the remaining provisions will remain effective. No waiver of any breach or right under this Receipt will constitute a waiver of any other or subsequent breach or right.
