WHEREAS, Client Name: (the "Client") desires to have certain pre-location services performed at the location described below; and

WHEREAS, Service Provider Name: (the "Provider") represents that it has the necessary experience, personnel and licenses to perform the pre-location assessment and related services; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other terms and conditions governing the Provider's performance of the pre-location services.

Scope of Work

The Provider shall perform the following pre-location services, inspections and assessments at the location specified above. The Provider's obligations include preparation of a location report identifying access constraints, safety issues, measurements, photographs, and recommendations as applicable.

Payment Terms

The Client shall pay the Provider the fees described below in consideration for the services. All amounts are stated in USD unless otherwise indicated. Provider shall issue invoices in accordance with the schedule below and payment is due as set forth herein.

Unpaid invoices past the stated due date shall accrue interest in the manner set forth above. Client shall also be responsible for reasonable collection costs, including attorneys' fees and court costs, if collection becomes necessary.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within the notice period specified above. Provider may suspend performance immediately if Client fails to pay undisputed invoices when due, without prejudice to Provider's other remedies.

Confidentiality

Each party acknowledges that in performing under this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. The receiving party shall (i) maintain Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to third parties except to those employees, contractors or advisors with a need to know who are bound by confidentiality obligations no less protective than those herein.

The obligations of confidentiality shall not apply to information that (a) is or becomes public other than by a breach of this Agreement; (b) was rightfully in the possession of the receiving party prior to disclosure; (c) is required to be disclosed by law or judicial order, provided that the receiving party gives prompt notice and cooperates to limit the disclosure.

Governing Law; Remedies

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that monetary damages may not be an adequate remedy for breach of the confidentiality provisions and that either party shall be entitled to seek injunctive or other equitable relief in addition to any other remedies at law or in equity.

Entire Agreement

This Agreement, including the recitals and any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Acknowledgement

Client represents that it has authority to grant access to the location and that the information provided in this form is true and complete to the best of Client's knowledge. Provider represents that it maintains appropriate insurance and will comply with applicable safety requirements while on site.
