CLIENT PRICING AGREEMENT

Parties

This Client Pricing Agreement (the Agreement) is entered into by and between the Service Provider and the Client as identified below. The parties agree to the pricing, billing and terms set forth herein.

The following fee schedule governs the pricing of services and deliverables provided under this Agreement.

Billing and Payment Terms

Invoices will be issued in accordance with the Pricing Schedule. Client shall pay undisputed amounts within days of invoice date. Overdue amounts shall bear interest at or the maximum permitted by law, whichever is less.

Adjustments; Change Orders

Any change in scope, deliverables, or schedule that affects price shall be documented by a written change order signed by authorized representatives of both parties. Provider may propose annual price adjustments not to exceed without additional notice, subject to Client acceptance for subsequent terms.

Expenses

Reimbursable out-of-pocket expenses incurred by Provider in the performance of services shall be billed to Client at cost and require prior written approval when expected to exceed per item.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or is rightfully obtained from a third party without restriction.

Limitation of Liability; Remedies

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for indirect, incidental, special or consequential damages. Provider's aggregate liability for any claim related to this Agreement shall not exceed the total fees paid by Client under this Agreement in the preceding twelve (12) months.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach may occur upon written notice if the breaching party fails to cure within days following receipt of notice.

Taxes

Unless otherwise stated, all fees are exclusive of sales, use, VAT or similar taxes. Client shall be responsible for applicable taxes, except for taxes based on Provider's net income.

Notices

Notices under this Agreement shall be sent to the party contact information set forth above or to alternative addresses provided in writing.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of law principles. The parties agree to attempt good faith negotiation to resolve disputes prior to initiating litigation.

Entire Agreement

This Agreement, together with any executed change orders and attachments, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior written or oral agreements.
