CLIENT PRIVACY FORM

THIS CLIENT PRIVACY FORM (the "Form") is entered into between the parties identified below on the Effective Date set forth herein. The parties intend that this Form memorialize the client's informed consent regarding collection, use, disclosure, storage, and retention of personal information and to set forth limited business terms associated with services provided in connection with such information.

CLIENT INFORMATION

SCOPE OF WORK AND DATA PROCESSING

The Provider shall perform the services described below (the "Services") and, to the extent necessary to provide the Services, collect and process the Client's personal information. The Services and the types of personal information to be collected are:

The Client expressly consents to collection, use, and disclosure of personal information for the following purposes (select all applicable):

If the Services are fee-based, the Client agrees to pay fees in accordance with the terms below.

TERM AND TERMINATION

This Form is effective as of Effective Date: and shall continue until End Date: unless earlier terminated as set forth below.

Either party may terminate this Form for material breach by the other party if such breach remains uncured for the notice period specified above. Termination does not relieve the Client of payment obligations accrued prior to termination.

CONFIDENTIALITY

Except as otherwise permitted in this Form, each party shall keep confidential and not disclose to any third party any Confidential Information of the other party. "Confidential Information" includes personal information collected under this Form and any non-public business information marked or reasonably understood to be confidential. Confidentiality obligations survive termination for a period of five (5) years or longer to the extent required by applicable law.

GOVERNING LAW

This Form shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Form, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior oral or written understandings. Any modification must be in writing and signed by both parties.

CLIENT CERTIFICATION

By signing below, the Client certifies that the information provided is true and complete to the best of the Client's knowledge, that the Client has read and understands the purposes for which personal information will be collected and used, and that the Client consents to the collection, use, and disclosure described in this Form.
