SCOPE OF WORK

Provide a concise description of the work to be performed. The description below constitutes the initial Scope of Work; the Provider will perform tasks consistent with this description and any mutually agreed written change orders.

PAYMENT TERMS

The Client agrees to pay the Provider in accordance with the following terms. Fees are exclusive of taxes unless otherwise stated.

All invoices are due in accordance with the Payment Schedule. If invoices remain unpaid beyond thirty (30) days, Provider may suspend performance until payment is made and shall be entitled to recover reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon written notice delivered at least Notice Period (days): days prior to the effective termination date. "Confidential Information" excludes information that (i) is or becomes publicly available without breach; (ii) is lawfully received from a third party without restriction; (iii) is independently developed without use of the other party's Confidential Information; or (iv) is required to be disclosed by law, provided the disclosing party gives prompt notice to allow the other party to seek protective measures.

DATA PROCESSING & MARKETING CONSENT

The Client hereby authorizes Provider to process Client data necessary to perform the services. Provider will implement reasonable technical and organizational measures to protect personal data. The Client may provide consent for marketing communications by checking below.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Jurisdiction: , without regard to conflict of law principles. Exclusive venue for disputes shall be in the courts located within that jurisdiction unless the parties agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENT

This document, including any scope attachments and payment schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations and understandings.
