CLIENT PROJECT SCOPE OF WORK

Recitals

WHEREAS, Client engages Contractor to perform professional services in connection with the Project Title identified above; and

WHEREAS, Contractor represents that Contractor has the experience, qualifications, and personnel required to perform the services described in this Scope of Work and agrees to perform such services in accordance with the terms and conditions set forth herein;

WHEREAS, the parties desire to set forth the scope, schedule, payment terms, confidentiality obligations, and other material terms governing their relationship for the Project.

Scope of Work

Contractor shall perform the following services and deliver the deliverables described below. Contractor shall provide labor, materials, equipment and supervision necessary to complete the work in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Client shall pay Contractor for the services and deliverables described above in accordance with the terms set forth below.

Expenses are reimbursable with prior written approval of Client.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated in accordance with this section.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by either party that is designated confidential or that reasonably should be understood to be confidential. Contractor and Client agree not to disclose Confidential Information to third parties and to use such information solely for performance under this Agreement.

Confidentiality obligations shall survive termination of this Agreement for a period of . Exceptions include information that is independently developed, becomes publicly known without breach, or is required to be disclosed by law (subject to notice and protective measures).

Upon termination or written request, each party will return or destroy the other party's Confidential Information and provide written certification of such return or destruction within days.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. Venue for any dispute shall be the state or federal courts located in that state, and the parties consent to the exclusive jurisdiction of such courts.

Entire Agreement; Amendments

This Agreement, including any exhibits or attachments, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment or modification to this Agreement must be in writing and executed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, addressed to the other party at its address set forth above or at such other address as the party may designate by written notice.

Miscellaneous Provisions

Contractor is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Contractor shall be solely responsible for all taxes, withholdings, and other statutory obligations.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for reference only and do not affect interpretation.
