WHEREAS, Company represents that it offers professional services and wishes to assess feasibility and propose a scope of work to Client based on the responses in this Survey; and

WHEREAS, the parties intend that completion of this Survey, together with the Scope of Work and Payment Terms set forth below, shall form the basis for a binding Engagement Agreement upon mutual execution.

The following payment terms are proposed for any engagement that may result from this Survey. These terms are binding if reflected in a mutually executed Statement of Work or proposal.

Term and Termination

Term: This Engagement, if executed, shall commence on and continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate for convenience upon written notice to the other party not less than days prior to the intended termination date. Termination for cause may occur immediately for material breach where such breach remains uncured for a commercially reasonable period following written notice.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party, including business plans, financial information, customer lists, product designs and proposals (collectively, Confidential Information). Confidential Information shall be used solely for evaluating and performing the services contemplated by this Agreement. Confidential Information does not include information that is (a) rightfully in the receiving party's possession without obligation of confidentiality prior to disclosure, (b) or becomes generally available to the public other than through a breach of this provision, or (c) is rightfully obtained by the receiving party from a third party without confidentiality obligations.

The receiving party shall protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Governing Law

This Agreement and any statements of work executed pursuant to it shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This document, together with any mutually executed Statements of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. No modification shall be effective unless in writing and signed by both parties.

Acknowledgement and Authorization

By signing below, Client acknowledges that the information provided in this Survey is true and accurate to the best of Client's knowledge and authorizes Company to rely on such information in preparing proposals and proposals for services. Client further acknowledges that submission of this Survey does not obligate Client to retain Company, nor obligate Company to accept engagement, until a mutually executed Statement of Work is signed by both parties.
