Parties and Recitals

This Client Proxy Assessment Agreement and Report (the Agreement) is entered into effective as of by and between Client Name: and Proxy Provider Name: .

WHEREAS, Client desires to engage Provider to assess the suitability, authority, and operational readiness of a designated proxy to act on behalf of the Client; and

WHEREAS, Provider has the qualifications, systems, and personnel necessary to perform a formal proxy assessment and to deliver findings, recommendations, and a written assessment report; and

WHEREAS, the parties intend by this Agreement to set forth the scope, payment, confidentiality, and other terms governing the assessment engagement.

Provider shall perform a structured assessment to determine whether the designated proxy holds appropriate authority, documentation, and competency to act on Client's behalf. The assessment will include document review, identity verification, authority verification, operational controls review, and recommendation of remedial actions if required. Provider will deliver a written report summarizing findings and recommended corrective measures.

Payment Terms

As consideration for the assessment services and report, Client shall pay Provider the fees and charges set forth below. Client acknowledges that payment is a material term of this Agreement.

Term and Termination

This Agreement commences on the Start Date and continues in effect until the completion of the assessment and delivery of the final report unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the specified notice period. Termination does not relieve Client of its obligation to pay for services performed prior to termination, including reasonable fees for work-in-progress and costs incurred.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in any form that is marked confidential or by its nature would reasonably be understood to be confidential. Provider will use Confidential Information solely to perform the assessment and will not disclose such information to third parties except as required by law or with the express prior written consent of Client.

Confidentiality obligations do not apply to information that: (a) is or becomes public through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is rightfully received from a third party without obligation of confidentiality; or (d) is independently developed by the receiving party. Remedies for breach include injunctive relief and recovery of direct damages.

Indemnification and Liability

Each party shall indemnify, defend, and hold harmless the other party from and against third-party claims arising from that party's negligent acts or willful misconduct in connection with this Agreement. Provider's liability for any claim arising under this Agreement shall be limited to direct damages and shall not exceed the total fees paid by Client to Provider under this Agreement for the specific assessment giving rise to the claim. Under no circumstances shall either party be liable for consequential, incidental, or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to its conflict of law principles.

Entire Agreement

This Agreement, together with any written attachments, schedules, or exhibits executed by the parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by both parties.
