WHEREAS

WHEREAS, Service Provider submitted the Quote referenced above setting forth the proposed scope, deliverables and fees for the services described therein; and

WHEREAS, Client desires to accept the Quote and engage Service Provider to perform the services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend for this written acceptance to constitute a binding agreement memorializing the Quote and related commercial terms.

Late Payment: Any undisputed amount not paid within days after the invoice due date shall accrue interest at (or the maximum rate permitted by law if lower). Client shall also be responsible for reasonable collection costs, including attorneys' fees.

Term and Termination

Either party may terminate for convenience upon written notice delivered at least prior to the effective termination date. Either party may terminate immediately for material breach that is not cured within 15 days after written notice, or immediately upon insolvency, assignment for the benefit of creditors, or similar events.

Confidentiality

Each party (Receiving Party) shall hold in strict confidence all Confidential Information disclosed by the other party (Disclosing Party). Confidential Information includes business plans, pricing, technical data, specifications, client lists and other non-public information disclosed in connection with the Quote or performance under this Agreement. The Receiving Party shall not disclose Confidential Information except to those employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidentiality obligations survive termination for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

Warranties; Remedies

Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH HEREIN, SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. Client's sole and exclusive remedy for breach of the warranty shall be re-performance of the deficient services or, if Service Provider is unable to re-perform within a commercially reasonable time, refund of the fees paid for the affected portion of the services.

Liability Limitation

Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, special, punitive, or exemplary damages. The aggregate liability of either party for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Service Provider under the applicable Quote.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve any dispute through negotiation. If unresolved within 30 days, disputes shall be resolved in the state or federal courts located in the county of the Service Provider's principal place of business, and the parties consent to personal jurisdiction and venue therein.

Entire Agreement

This Agreement, together with the referenced Quote and any documents expressly incorporated herein, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Acceptance

Client acknowledges that by signing below Client accepts the Quote and authorizes Service Provider to proceed with the scope of work and to invoice in accordance with the Payment Terms. Client further acknowledges that any requested changes to scope or schedule may be subject to additional fees and a change order.
