WHEREAS, Client Name: seeks a formal price proposal from Vendor Name: for the services described below; and

WHEREAS, Vendor has represented that it has the experience, personnel and capability to perform the requested services in accordance with the terms set forth in this Client Quote Request and any subsequent written acceptance by the Client;

WHEREAS, upon acceptance of the Quote Request by the Client, the parties intend that the Vendor's proposal and this document will constitute the basis for a binding agreement as further defined below.

Confidential Information includes business plans, technical data, pricing, and other non-public information reasonably understood to be confidential. This obligation shall continue for after termination, except to the extent disclosure is required by law or court order.

Acceptance and Authorization

By signing below, the parties affirm that the information provided in this Client Quote Request is accurate, that the Vendor's quoted price covers the Scope of Work unless expressly stated otherwise, and that upon Client's written acceptance of the Vendor's quote this document together with the accepted quote will form the binding agreement between the parties.

Governing Law; Entire Agreement

This Client Quote Request and any resulting agreement shall be governed by the laws of the State of without regard to its conflicts of law principles.
