CLIENT RECEPTION ACKNOWLEDGMENT

This Client Reception Acknowledgment (the Agreement) is entered into by and between:

WHEREAS, the Service Provider provides professional services as further described in the Scope of Work below; and

WHEREAS, the Client has requested and agrees to receive specified documents, deliverables, and related communications from the Service Provider and acknowledges receipt of such items as indicated herein; and

WHEREAS, the parties wish to memorialize the Client's receipt of materials and the mutual obligations regarding payment, confidentiality, term and termination, and governing law.

PAYMENT TERMS

The Client agrees to pay the Service Provider in accordance with the terms set forth below.

If any payment is not received when due, the unpaid balance shall accrue interest at the rate set forth above and the Client shall be responsible for reasonable collection costs, including attorney fees, to the extent permitted by law.

TERM AND TERMINATION

This Agreement commences on the Start Date and shall continue until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Termination shall not relieve the Client of payment obligations for services performed or deliverables provided prior to termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" includes nonpublic business information, client data, trade secrets, technical information, and other information clearly identified as confidential. Each party shall: (a) use Confidential Information solely for the purposes of performing under this Agreement; (b) protect Confidential Information with reasonable care; and (c) not disclose Confidential Information to third parties except as required by law or with prior written consent. Confidentiality obligations shall survive termination for a period of three (3) years unless a longer statutory period applies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment to this Agreement must be in writing and signed by both parties.
