Either party may terminate this Agreement for convenience upon written notice delivered to the other party at least days prior to the effective termination date. Termination for cause may be immediate if a material breach is not cured within 14 days of written notice.

Confidentiality

The parties acknowledge that, in the course of performance, each may receive Confidential Information. "Confidential Information" means non-public information, whether written or oral, disclosed in connection with this engagement. The receiving party shall: (a) use Confidential Information solely for the purposes of performing obligations under this Agreement; (b) restrict disclosure to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those herein; and (c) not disclose Confidential Information to third parties without prior written consent, except as required by law. Confidentiality obligations survive termination for a period of three (3) years.

The Recommender further confirms that no undisclosed conflicts of interest exist that would materially affect the recommendation.
