What the Client Referral Agreement PO Is

The Client Referral Agreement PO is a written contract used when one party introduces a prospective client to another in exchange for referral compensation tied to a purchase order or sale. It documents identities, referral fees, payment triggers, term, confidentiality, and any non-solicitation or exclusivity provisions. Parties use this agreement to set expectations, reduce disputes, and create an enforceable record of referral obligations. It is typically used in professional services, finance, real estate, and technology transactions and can be executed electronically where permitted by federal and state e‑signature laws.

Why a Clear Agreement Matters

A Client Referral Agreement PO clarifies payment triggers, scopes, and timelines so both referrer and recipient understand obligations. Clear terms reduce payment disputes, protect confidential information, and establish governing law and remedies, improving enforceability under ESIGN and UETA where electronic execution is used.

Why a Clear Agreement Matters

Who Typically Uses This Agreement

Professionals and organizations that arrange client introductions use this form to document referral fee terms, payment triggers, and confidentiality obligations.

  • Standalone consultants securing commission on closed deals with corporate buyers.
  • Sales partners and brokers formalizing referral payment schedules tied to purchase orders.
  • Professional services firms (legal, accounting, marketing) tracking referral sources and compensation.

Use this agreement when referrals lead to a specific purchase order, sale, or retained engagement to ensure timely payment and auditability.

Roles and Responsibilities

Referrer

An individual or firm that identifies a prospective client and submits the referral in writing. The referrer should provide accurate contact details, disclose any conflicts of interest, and understand payment timing tied to defined purchase order acceptance or invoice payment events.

Recipient

The company or person receiving the referral who may pay a fee after a client signs a purchase order or completes payment. Recipients must track referral claims, validate client origin, and comply with governing law and any confidentiality or non-solicit terms.

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
HIPAA Compliance: BAA available; PHI protection
Authentication: Multi-factor options, audit timestamps
Audit Trail: IP, timestamps, action log retained
Access Controls: Role-based permissions and SSO
Compliance Certifications: SOC2, ISO27001, PCI DSS

Key Risks and Regulatory Consequences

Tax Reporting: 1099 required for paid referrals
Backup Withholding: 24% if missing/incorrect TIN
Contract Disputes: Unclear fee triggers cause litigation
Payment Delays: Missing PO acceptance delays payment
Invalid Signature: Improper execution risks unenforceability
Breach of Privacy: Unauthorized disclosure risks HIPAA violations

Common Preparation Mistakes to Avoid

  • Failing to specify the exact payment trigger — e.g., upon purchase order issuance versus invoice payment — leads to disputes and delayed compensation.
  • Not recording the referral source and date clearly can result in competing claims from multiple referrers when a client converts, complicating reconciliation.
  • Omitting confidentiality, non-solicit, or non-circumvention clauses exposes referrers to direct solicitation by the recipient and loss of future fees.
  • Using vague fee calculations like 'reasonable percentage' instead of fixed rates or clear formulas causes billing ambiguity and audit failures.

Step-by-Step: Completing the Agreement

Follow these steps to complete a Client Referral Agreement PO accurately and create an audit-ready record for payment and compliance.

  • 01
Prepare Info: Gather referrer, recipient, client, and PO details.
  • 02
Define Fee: Specify fee amount or formula and payment trigger.
  • 03
Signatures: All parties sign and date; include witness or notarization if required.
  • 04
Record: Store signed agreement with PO and payment records.

How the Referral-to-PO Workflow Operates

Typical transaction flow ties a referral to a purchase order, triggers payment, and generates the documentation needed for compliance and accounting.

  • Upload: Sender uploads agreement and attaches PO.
  • Field Tagging: Insert signature and date fields for each party.
  • Sign: Signers authenticate and apply electronic signatures.
  • Archive: System captures audit trail and stores document.

Essential Sections to Include

Key sections in a Client Referral Agreement PO allocate responsibilities, payment terms, and dispute resolution so referral outcomes are transparent and legally defensible.

Parties

Identify referrer and recipient with full legal names, business entity types, mailing addresses, and taxpayer identification numbers where needed for tax reporting; specify the role each party plays in the referral process.

Referral Scope

Define the covered clients, lead acceptance criteria, geographic or industry limits, and any exclusion lists so referrers cannot claim unrelated or previously known prospects during specified term.

Compensation

Specify fixed fees, percentage of revenue, or tiered schedules tied to purchase order acceptance or receipt of payment; include timing, currency, invoicing requirements, and whether fees survive termination.

Payment Terms

State payment timing (e.g., net 30 after invoice), required documentation, handling of refunds or chargebacks, late interest, and whether payment is contingent on client payment or PO issuance.

Representations

Each party warrants authority to enter the agreement, accuracy of information, and compliance with anti-bribery and data protection laws; include mutual indemnities for third-party claims arising from referrals.

Dispute Resolution

Designate governing state law, venue, and whether disputes go to arbitration or courts; include a limitation of liability clause and a mechanism for interim injunctive relief.

Exporting and Supporting Materials

Common supporting elements and export options help integrate the Client Referral Agreement PO into accounting, CRM, and compliance systems for lifecycle tracking.

Export Formats

Save finalized agreements as PDF/A, DOCX, or encrypted ZIP for archival. Include the signature audit trail and embedded metadata for later verification and compliance reviews.

Accompanying Docs

Attach the purchase order, client acceptance email, invoice, and any communications that establish the fee trigger. These documents support payment claims and aid accounting reconciliation.

Audit Evidence

Maintain IP logs, signer authentication records, timestamps, and any KBA or ID verification results. These items are essential for legal defensibility and tax or regulatory audits.

Version Control

Record amendment history and approvals; require initials or signed amendment pages for changes to compensation, scope, or governing law and electronic audit trail.

Practical Tips for Accurate Completion

Practical practices reduce disputes, clarify payment mechanics, and streamline reconciliation for referral agreements tied to purchase orders.

Clearly define the payment trigger
Spell out whether payment is due on PO issuance, client signature, invoice payment, or milestone achievement. Tie payment timing to verifiable events and list required supporting documents to avoid disputes during reconciliation processes.
Use clear formulas for fees
Prefer fixed amounts or percentage formulas with a clearly defined base (gross invoice or net revenue). Include rounding rules and treatment of discounts, returns, and taxes so calculations remain consistent and auditable across accounting systems.
Collect client acceptance evidence
Require documented client acceptance such as signed purchase orders or confirmation emails. Store copies with the referral agreement and ensure timestamps and signer attribution are retained to support invoice approvals and tax reporting.
Preserve a secure audit trail and backups
Keep a tamper-evident copy of the executed agreement, the audit trail, and any ID verification results. Back up records per retention policy and restrict access with role-based permissions to reduce unauthorized alterations and data breaches.

Representative Use Cases

Real-world examples show how referral agreements connect referrals to purchase orders and ensure correct fee payment and recordkeeping.

Real Estate Broker

A real estate broker refers a corporate client who later issues a purchase order for property management services; the broker expects a fixed referral fee.

  • Fee payable on PO acceptance.
  • The agreement defines the fee as 5% of the first-year management contract, requires the broker to submit lead details within 10 days, and ties payment to the client's signed purchase order and cleared payment to protect both parties.

SaaS Reseller

A software reseller refers an enterprise customer who signs a multi-year subscription and issues a purchase order; commissions are calculated as a revenue share over the first year.

  • Payments made after customer invoice payment.
  • The contract specifies pro rata fees for partial periods, requires reseller to submit signed PO and customer acceptance, and allows offset for any refunds. It also requires reseller to retain records for tax reporting and audit purposes.
