CLIENT REFERRAL FORM AND AGREEMENT

Recitals

WHEREAS, Referrer is engaged in the business of identifying potential clients and has contacts that may be of commercial interest to Company; and

WHEREAS, Company provides professional services or products and wishes to accept introductions to potential clients on the terms and conditions set forth herein; and

WHEREAS, the parties desire to record the terms under which Referrer will submit prospective client referrals to Company and the compensation to be paid for successful referrals.

Scope of Referral

Referrer shall submit to Company prospective client introductions consisting of contact information and a brief description of the prospective client's needs. Company retains sole discretion to pursue, decline, or otherwise engage with any referred person or entity. The parties agree the scope of referral activity includes only introductions, not the provision of services to the referred client by Referrer, unless separately agreed in writing.

Payment Terms

Company shall pay Referrer a referral fee for each Referred Client that results in a executed agreement between Company and the Referred Client for services or sale of goods. Payment is earned only when Company receives payment from the Referred Client for amounts invoiced under the resulting agreement, unless otherwise agreed in writing.

Term and Termination

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination will not affect obligations to pay earned referral fees for referrals made prior to termination.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with referrals and shall not use such information except to perform its obligations under this Agreement. Confidential information does not include information which: (a) is or becomes publicly available without breach of this Agreement; (b) was known to the receiving party prior to disclosure; or (c) is rightfully received from a third party without restriction.

Representations; Compliance

Referrer represents that it has the right to provide the Referred Client's contact information and that making such referral will not violate any contractual obligations with third parties. Each party agrees to comply with applicable laws and regulations in performing under this Agreement.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may specify in writing.

Certification

By signing below, Referrer certifies that the information provided in this form is true and correct to the best of Referrer's knowledge and that Referrer has obtained any necessary consents to share the referred party's contact information. Company certifies that it has authority to accept referrals and to pay referral fees in accordance with this Agreement.
