This Client Referral Services Agreement ("Agreement") is entered into as of Effective Date: by and between Referrer Name: with address and Company Name: with address .

WHEREAS

WHEREAS, Referrer maintains relationships with potential clients and has the ability to introduce prospective clients to Company; and

WHEREAS, Company desires to retain Referrer to provide introductions and referral services under the terms set forth in this Agreement, and Referrer agrees to perform such services as an independent contractor; and

WHEREAS, the parties intend that Referrer shall be compensated for referrals that result in qualifying engagements in accordance with the Payment Terms below.

SCOPE OF SERVICES

REFERRAL PROCESS

Referrer shall submit referrals to Company in writing. Required referral information includes Client Name, Contact Information, Brief Description of Need, and Date of Introduction. Submission method:

PAYMENT TERMS

Referral Fee: Company shall pay Referrer a fee for each Qualified Referral that results in a Paid Engagement as follows.

Payment due within days of invoice following Company's receipt of payment from the referred client. Late payments shall incur a late fee of or interest of 1.5% per month, whichever is greater.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate immediately for cause upon material breach that is not cured within 15 days of written notice.

CONFIDENTIALITY

Definition: "Confidential Information" means nonpublic information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes client lists, pricing, proposals, and business terms.

Obligation: Receiving party shall maintain Confidential Information in strict confidence, shall not use it except to perform under this Agreement, and shall not disclose it to any third party except to employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Duration: The confidentiality obligations shall survive termination of this Agreement for a period of unless a longer period is required by applicable law.

INDEPENDENT CONTRACTOR; NON-EXCLUSIVITY

Referrer is an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship. Company remains free to accept referrals from others and to solicit clients directly.

REPRESENTATIONS; INDEMNITY

Each party represents that it has the authority to enter into this Agreement. Referrer shall not make representations or warranties on behalf of Company. Each party agrees to indemnify and hold harmless the other from any claims arising from its own breach of this Agreement or negligent acts.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by the laws of State of without regard to conflicts of law principles. The parties agree to attempt to resolve disputes in good faith by negotiation. If unresolved within 30 days, disputes shall be resolved by arbitration or litigation as selected by the Company in its discretion; the prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

ENTIRE AGREEMENT

This Agreement, together with any written attachments or schedules executed by the parties, constitutes the entire agreement between the parties concerning the subject matter and supersedes all prior and contemporaneous agreements and understandings, oral or written. Any amendment must be made in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets provided that the assignee assumes the assigning party's obligations. Notices shall be in writing and sent to the addresses listed above.
