What a Client Relationship Management Letter Is

A Client Relationship Management Letter is a formal written document that defines the working relationship between a service provider and a client, including scope of services, points of contact, roles and responsibilities, billing and fee arrangements, confidentiality expectations, and termination procedures. It documents mutual commitments, clarifies communication protocols, and reduces misunderstandings by recording agreed terms in a single, signed record. In many organizations this letter functions as a lightweight engagement agreement used before or alongside a formal contract or statement of work.

Why the Letter Matters for Clear Engagements

A concise Client Relationship Management Letter sets expectations, reduces disputes, and records consent to key terms. It supports compliance, auditability, and consistent client onboarding while preserving an auditable record of the parties’ agreement.

Why the Letter Matters for Clear Engagements

Typical Users and When They Prepare the Letter

Professionals who routinely formalize client engagements prepare these letters during onboarding or scope changes.

  • Law firms and general counsel drafting limited-scope engagement summaries.
  • Financial advisors, accountants, and tax preparers documenting advisory scope and fees.
  • Real estate brokers, property managers, and service providers confirming roles and disclosures.

Use this letter at engagement start, when services change materially, or when formalizing recurring or long-term client interactions.

Common Signatories and Their Roles

Account Manager — Client Services

An account manager typically completes the letter to confirm operational details, designate primary contacts, and accept operational responsibilities. Their signature indicates authorization to act on behalf of the service organization for routine performance and communications.

General Counsel — Legal Signatory

A legal signatory or authorized officer signs to bind the entity to legal terms, fee structures, and dispute resolution clauses. Their approval certifies internal review and confirms authority to commit the organization legally.

Core Elements to Include in Every Letter

A professional Client Relationship Management Letter should be concise yet complete; include clear parties, precise service descriptions, and specific administrative terms to avoid ambiguity.

Parties Identified

Full legal names and entity types for both client and provider, plus primary contact name, title, email, and phone for each side to ensure accurate attribution and notice delivery.

Scope of Services

A detailed description of tasks, deliverables, and exclusions so both parties understand exactly what is and is not included under the engagement to limit scope creep.

Fees and Billing

Specify rates, billing frequency, invoicing method, and late-payment terms; include whether expenses are reimbursable and how taxes are handled to avoid billing disputes.

Communication Protocols

Define preferred channels, escalation paths, expected response times, and the person authorized for approvals to streamline operational collaboration and reduce delays.

Confidentiality & Data Handling

State confidentiality obligations, data protection measures, retention rules, and any required addenda (for example HIPAA BAA in healthcare) to protect sensitive information.

Termination & Disputes

Include notice periods, cure rights, final invoicing arrangements, and dispute-resolution mechanism to reduce litigation risk and enable orderly contract wind-down.
