Recitals (Whereas)

WHEREAS, Client Name identified above desires to engage Service Provider to perform certain services described herein and to obtain releases and licenses necessary for the performance and public use of the results of those services; and

WHEREAS, Service Provider represents that it is duly qualified and has the experience, personnel and resources necessary to perform the services and obtain any consents, waivers, or releases from third parties necessary for the use of Client materials; and

WHEREAS, the parties desire to set forth their respective rights and obligations, including the Client's release of certain claims relating to the services and the Provider's obligations regarding confidentiality and compensation.

Scope of Work

Release, Waiver and License

In consideration of the services and payment described herein, Client hereby releases and forever discharges Service Provider and its affiliates, successors and assigns from any and all claims, demands, causes of action, liabilities, damages, costs and expenses arising out of or related to the services or the use of any deliverables, whether known or unknown, foreseen or unforeseen, except to the extent such claims arise from Provider's gross negligence or willful misconduct.

Client grants to Service Provider a non-exclusive, royalty-free, worldwide license to use, reproduce, display, distribute and publish Client materials and likenesses to the extent reasonably necessary for performance of the services and for the Provider's marketing and portfolio purposes. Client represents and warrants that it has the authority to grant such license and has obtained any necessary third-party releases.

The release above does not operate to waive claims that cannot be waived as a matter of law, including claims for gross negligence, fraud, or willful misconduct.

Indemnification

Client agrees to indemnify, defend and hold harmless Service Provider from and against any third-party claim, demand or liability arising from Client-provided materials, representations, warranties, or any breach of Client's obligations under this Agreement, including attorneys' fees and costs.

Either party may terminate this Agreement for convenience upon days' written notice. For material breaches, the non-breaching party may terminate if the breach is not cured within days after written notice specifying the breach.

Confidentiality

Each party shall keep confidential and not disclose or use any Confidential Information of the other party except as required to perform its obligations under this Agreement or as required by law. Confidential Information does not include information that is or becomes publicly available through no breach by the receiving party, is rightfully received from a third party without obligation of confidentiality, or is independently developed.

Media, Publicity and Use of Likeness

Client grants Provider permission to capture and use photographs, recordings, and other media that include Client's likeness and to use such media in connection with Provider's promotional materials, case studies and portfolios, subject to the confidentiality obligations above and except as limited in writing by Client.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Any dispute arising under or relating to this Agreement shall be resolved by binding arbitration or in the state and federal courts located in the selected state, at the election of the prevailing party.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any modification must be in writing and signed by both parties.

By signing below, each party certifies that it has full power and authority to enter into this Agreement, has read and understands the terms herein, and that the individuals signing on behalf of the parties are authorized to bind their respective entities.
