RECITALS

WHEREAS, Client requires temporary relief from certain contractual obligations or payment obligations arising under existing agreements between the parties; and

WHEREAS, Service Provider is willing to grant limited relief on the terms and conditions set forth in this Client Relief Form effective as of (the Effective Date) to assist Client while preserving Provider's essential rights; and

WHEREAS, the parties intend for this Client Relief Form to operate as a binding amendment or standalone agreement describing the relief, payment terms, and obligations of each party.

Either party may terminate this relief agreement by providing written notice to the other party at least days prior to termination, except that Provider may terminate immediately for material breach by Client or nonpayment in accordance with the Payment Terms.

CONFIDENTIALITY

Each party shall treat as confidential all nonpublic information disclosed by the other party in connection with this Client Relief Form ("Confidential Information"). Confidential Information shall not be disclosed to third parties or used for any purpose other than performing obligations hereunder, except as required by law. Confidentiality obligations shall continue for a period of years following termination or expiration of this agreement.

Notwithstanding the foregoing, Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Form; (b) is received from a third party without breach of an obligation of confidentiality; or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Client Relief Form and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT; MISCELLANEOUS

This Client Relief Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior understandings and agreements, whether written or oral, concerning the relief described herein. No amendment to this Form shall be effective unless in writing and signed by both parties.

If any provision of this Form is found to be invalid or unenforceable, the remaining provisions shall remain in full force. The parties acknowledge that monetary damages may be insufficient to remedy a breach and agree that equitable relief, including injunctive relief, may be sought in addition to other remedies.
