Either party may terminate this Renewal Order Form for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. Either party may terminate for convenience upon days' prior written notice to the other party, subject to payment for services performed through the effective date of termination.

Confidentiality

Each party acknowledges that in connection with this Renewal Order Form it may receive Confidential Information of the other party. "Confidential Information" means non-public business or technical information disclosed that is marked confidential or that reasonably should be understood as confidential. Each party agrees to: (a) use the Confidential Information only to perform its obligations under this Renewal Order Form, (b) restrict disclosure to its employees, agents and contractors who need to know and who are bound to confidentiality obligations no less protective than those herein, and (c) exercise at least the same degree of care to protect the other party's Confidential Information as it uses to protect its own Confidential Information, but no less than a reasonable degree of care. Confidential Information does not include information that is or becomes publicly known through no fault of the receiving party, or that is independently developed without reference to the disclosing party's Confidential Information, or that is required to be disclosed by law.

Warranties and Liability

Service Provider represents that it will perform services in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND NEITHER PARTY MAKES ANY OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED. IN NO EVENT WILL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY FOR CLAIMS ARISING OUT OF OR RELATED TO THIS RENEWAL ORDER FORM SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO SERVICE PROVIDER UNDER THIS RENEWAL DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

Governing Law

This Renewal Order Form shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles.

Entire Agreement
