Parties

Recitals

WHEREAS, the Client and the Service Provider previously entered into an agreement titled Renewal Agreement or Services Agreement dated , under which the Service Provider performs services for the Client; and

WHEREAS, the Parties desire to renew and amend certain terms of their agreement to continue the Services under the terms set forth in this Client Renewal Packet;

WHEREAS, the Parties intend that this Packet, once executed, will supersede inconsistent renewal terms and govern the renewed term of services.

Scope of Work

The Service Provider shall perform the services described below during the renewal term. The scope may include deliverables, milestones, and performance standards as agreed by the Parties.

Payment Terms

In consideration for the Services, the Client shall pay the Service Provider the amounts and on the schedule set forth below. All amounts are payable in United States dollars unless otherwise agreed in writing.

Unless otherwise stated, late payments shall accrue interest at the rate specified above, computed monthly on the unpaid balance, and Client shall be responsible for reasonable collection costs and attorneys' fees resulting from breach of payment obligations.

Term and Termination

This renewal term shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either Party may terminate this renewal for material breach by the other if the breaching Party fails to cure the breach within thirty (30) days after written notice; termination for cause is effective upon expiration of the cure period. Termination shall not relieve Client of payment obligations accrued prior to the effective date of termination.

Confidentiality

Each Party acknowledges that during the performance of Services it may receive Confidential Information of the other Party. Confidential Information means nonpublic information that is designated as confidential or that, by its nature, should reasonably be understood to be confidential. Each Party shall (i) hold the other's Confidential Information in strict confidence, (ii) use it solely for purposes of performing under this renewal, and (iii) not disclose it to third parties except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Governing Law

This renewal shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

Entire Agreement; Amendments

This Client Renewal Packet constitutes the entire agreement between the Parties with respect to the subject matter herein and supersedes all prior oral or written renewal negotiations or understandings. Any amendment or modification must be in writing and signed by authorized representatives of both Parties.

Acknowledgment
