RECITALS

WHEREAS, Client has received a written proposal or statement of work from Service Provider incorporating certain services, deliverables and timelines described therein; and

Either party may terminate this Agreement for material breach not cured within days after written notice. Termination shall not relieve Client of obligations to pay for services performed and expenses incurred prior to termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means nonpublic business, technical or financial information disclosed by one party to the other. Recipient shall (a) protect Confidential Information with at least the same degree of care used to protect its own confidential information, (b) not use Confidential Information except as necessary to perform under this Agreement, and (c) not disclose Confidential Information to third parties except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less restrictive than those contained herein.

Confidential Information does not include information that is or becomes publicly available through no fault of the recipient, is rightfully received from a third party without breach of any obligation, or is independently developed without use of the discloser's Confidential Information. Required disclosures by law or court order must be promptly notified to the discloser to allow for protective measures.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below without regard to conflict of law principles.

ENTIRE AGREEMENT

This Client Reply Form and Agreement, together with the referenced proposal or statement of work and any written schedules or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment shall be effective unless in a writing signed by both parties.
