Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach that is not cured within thirty (30) days after written notice.

CONFIDENTIALITY

Each party shall maintain the confidentiality of Confidential Information disclosed by the other party. "Confidential Information" includes non-public business, technical, financial and other proprietary information disclosed in connection with this Agreement. Confidential Information does not include information that (a) is or becomes publicly known through no breach of this Agreement; (b) is rightfully received from a third party without restriction; or (c) is independently developed without use of the other party's Confidential Information.

The receiving party shall use the same degree of care to protect Confidential Information as it uses with its own similar information, but in no event less than reasonable care. The obligations in this section shall survive termination of this Agreement for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction indicated below, without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments or written statements of work executed by the parties, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral, relating to the subject matter hereof. Any modification must be in writing and signed by an authorized representative of both parties.

MISCELLANEOUS PROVISIONS

Relationship of the Parties: The parties are independent contractors. Nothing in this Agreement shall create an employer-employee relationship, partnership, joint venture, or agency. Remedies: The parties acknowledge that breach of confidentiality or proprietary rights may cause irreparable harm for which monetary damages would be inadequate, and the non-breaching party shall be entitled to injunctive relief in addition to any other remedies.
