Term and Termination

This Agreement is effective as of Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Either party may terminate for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may terminate immediately for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each receiving party shall (a) keep Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) permit access only to employees or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidential Information shall not include information that is (i) publicly known through no breach of this Agreement, (ii) independently developed without use of the other party's Confidential Information, or (iii) rightfully received from a third party without restriction.

The confidentiality obligations set forth in this section shall survive termination or expiration of this Agreement for a period of years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This document, together with any attachments and executed response items referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
