Recitals

WHEREAS, Client Name: (the "Client") maintains an account and requests reevaluation of previously assigned scores and related data; and

WHEREAS, Service Provider Name: (the "Provider") is engaged in scoring, analytic services, and data reconciliation and has the capacity to perform a rescore in accordance with the terms set forth herein;

NOW, THEREFORE, in consideration of the mutual promises contained in this document and other good and valuable consideration, the parties agree as follows:

Scope of Work

Provider shall, consistent with industry standards and the terms of this form, conduct a rescore of the Client's specified account(s). The rescore shall include data verification, application of scoring rules identified below, documentation of adjustments, and delivery of a written rescore report to the Client. Provider will not alter original source data except to correct demonstrable errors as documented in the rescore report.

Payment Terms

Fee Amount: $

Late Payment Fee: per month on overdue balances calculated from the date payment is due. Client shall also reimburse Provider for reasonable collections costs, including attorneys' fees, incurred in collecting overdue amounts.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Provider may terminate immediately for material breach by Client that remains uncured for 15 days following written notice. Termination shall not relieve Client of payment obligations for services performed through the effective date of termination.

Confidentiality

Each party shall maintain in confidence and shall not disclose to any third party Confidential Information received from the other party except as required by law or as necessary to perform the rescore services. Confidential Information includes non-public business information, scoring algorithms disclosed in confidence, data elements and supporting documentation. Confidentiality obligations survive termination for a period of three (3) years. Provider shall implement reasonable safeguards to protect Client data and shall promptly notify Client of any unauthorized access or breach affecting Client data.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of laws principles.

Entire Agreement

This form, together with any referenced attachments or statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No modification shall be effective unless in writing and signed by authorized representatives of both parties.

Client further acknowledges that Provider's rescore is limited to the scope described in this form and that Provider does not guarantee any particular score outcome; adjustments shall be limited to demonstrable errors or to agreed recalibration methodologies.
