CLIENT RESPONSE ENGAGEMENT AGREEMENT

Parties

Recitals

WHEREAS, Client Name: desires to retain specialized response and advisory services from Responder to address a specific matter described below; and

WHEREAS, Responder Name: has represented that it has the expertise, capacity, and personnel necessary to perform the services and is willing to accept engagement on the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Scope of Work

Responder shall provide the services described below. The services shall include, without limitation, response analysis, written recommendations, client communications, and any deliverables explicitly identified in this Agreement. Any additions to Scope of Work shall be documented in a written amendment signed by both parties.

Payment Terms

Compensation for the services described in this Agreement shall be paid by Client to Responder as set forth below. Unless otherwise agreed in writing, all monetary amounts are stated in United States dollars.

Client shall pay all undisputed invoices within the period specified in the Payment Schedule. Invoices not paid when due shall accrue interest at the Late Payment Fee described above and Responder may suspend performance after giving five (5) days' written notice of intent to suspend.

Term and Termination

This Agreement commences on the Start Date and shall continue through the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above after receipt of written notice identifying the breach. Upon termination, Client shall pay Responder for all services performed and expenses reasonably incurred through the effective date of termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that, by its nature, would reasonably be understood to be confidential. Confidential Information shall not include information that (i) is or becomes publicly available through no wrongful act of the receiving party; (ii) was lawfully known to the receiving party prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall maintain the confidentiality of Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. The receiving party shall use Confidential Information solely for the performance of this Agreement and shall not disclose it to any third party except (A) to its employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein, or (B) as required by applicable law or order of a court or governmental authority, provided that the receiving party gives prompt written notice to the disclosing party to permit the disclosing party to seek a protective order or other appropriate remedy.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or breach of the confidentiality obligations in this Agreement, neither party shall be liable to the other for indirect, incidental, consequential, special, or punitive damages. The aggregate liability of Responder for any claim arising out of or related to this Agreement shall not exceed the total fees paid by Client to Responder under this Agreement during the six (6) month period preceding the event giving rise to the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising out of or relating to this Agreement.

Entire Agreement; Amendments

This Agreement, together with any attachments or written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered by personal delivery, certified mail (return receipt requested), or reputable overnight courier to the addresses set forth in the Parties section or to such other address as either party designates by notice to the other.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, agency or employment relationship. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Responder may assign to an affiliate or in connection with a merger or sale of substantially all its assets.
