CLIENT RESPONSE FORM AND SERVICE AGREEMENT

Recitals (WHEREAS)

WHEREAS, Client has requested that Service Provider perform certain professional services in connection with the project identified above; and

WHEREAS, Service Provider represents that it possesses the skill, experience, and resources necessary to perform the requested services and is willing to provide such services to Client under the terms set forth in this agreement; and

WHEREAS, the parties wish to document the scope, payment, term, confidentiality, and other material terms governing the performance of the services and the Client's formal response to the proposal;

Scope of Work

The Service Provider shall perform the services described below. The description shall control the obligations of the Service Provider; any variations must be agreed in writing by both parties.

Payment Terms

Client agrees to pay Service Provider for services performed in accordance with the following terms.

Unpaid amounts shall accrue interest at from the due date until paid. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Service Provider in enforcing payment.

Term and Termination

This agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this agreement for convenience upon written notice to the other party no fewer than prior to the effective termination date. Termination for cause shall be effective immediately upon written notice if the breaching party fails to cure a material breach within fourteen (14) days after receipt of notice of such breach.

Confidentiality

Each party acknowledges that during the performance of services it may gain access to Confidential Information of the other party. "Confidential Information" means nonpublic information that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees to:

(a) hold the other party's Confidential Information in strict confidence; (b) use Confidential Information solely to perform obligations under this agreement; and (c) not disclose Confidential Information to any third party except as required by law or with the other party's prior written consent. Confidentiality obligations shall survive termination for a period of three (3) years.

Client acknowledges the foregoing and confirms that any materials provided to Service Provider marked as confidential will be protected in accordance with this clause.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for any dispute arising out of or relating to this agreement.

Entire Agreement; Modification

This document, including any attachments or written amendments signed by both parties, constitutes the entire agreement between Client and Service Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification or amendment must be in writing and signed by authorized representatives of both parties.

Client's formal response, including acceptance of the scope, fees, and schedule, is set forth below. By executing this document, Client authorizes Service Provider to commence work in accordance with the terms above.
