CLIENT RESPONSE PACKAGE

This Client Response Package (the "Agreement") is entered into by and between Client Name: and Service Provider Name: . The parties may be referred to individually as "Party" and collectively as "Parties."

Parties and Notice Addresses

Recitals

WHEREAS, Client requires certain professional services and deliverables describing client needs and expects Service Provider to deliver the same under the terms and conditions set forth herein;

WHEREAS, Service Provider represents that it has the experience, personnel, and resources necessary to perform the services described in this Agreement and agrees to perform such services in a timely and workmanlike manner; and

WHEREAS, the Parties wish to document the scope, deliverables, payment terms, confidentiality obligations, and other terms governing their relationship.

Scope of Work

Service Provider shall perform the services and provide the deliverables described below. The description shall include objectives, milestones, and acceptance criteria. Any changes to the scope shall be governed by the Change Order provisions set forth in this Agreement.

Payment Terms

Client shall pay Service Provider in accordance with the terms set forth below. All monetary amounts are in lawful currency unless otherwise noted.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate of percent per month (or the maximum rate permitted by law, if lower). Client shall also reimburse Service Provider for reasonable collection costs, including attorneys' fees, incurred to collect overdue amounts.

Term and Termination

Term: This Agreement commences on the Start Date: and continues until the End Date: , unless earlier terminated in accordance with this section.

Termination for Convenience: Either Party may terminate this Agreement for convenience upon providing written notice to the other Party not less than days prior to the effective date of termination.

Termination for Cause: Either Party may terminate immediately upon written notice if the other Party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one Party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Receiving Party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to those employees, contractors, and agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein, and (c) exercise at least the same degree of care in protecting Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exclusions: Confidential Information shall not include information that is or becomes publicly available without breach, is rightfully received from a third party without obligation of confidentiality, or is independently developed by Receiving Party without use of or reference to Disclosing Party's Confidential Information.

Compelled Disclosure: If Receiving Party is compelled by law to disclose Confidential Information, it shall, to the extent permitted, provide prompt notice to Disclosing Party and reasonably cooperate to obtain confidential treatment or a protective order.

Representations; Indemnity; Limitation of Liability

Each Party represents that it has the corporate power and authority to enter into and perform its obligations under this Agreement. Service Provider represents that services will be performed in a professional manner consistent with industry standards.

Indemnity: Service Provider shall indemnify and hold Client harmless from and against third-party claims arising out of Service Provider's gross negligence or willful misconduct in performing the services. Client shall indemnify and hold Service Provider harmless from and against third-party claims arising from Client's breach of representations or misuse of deliverables.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or indemnifiable third-party claims, neither Party shall be liable for consequential, incidental, special, or punitive damages. The aggregate liability of each Party arising out of or related to this Agreement shall not exceed the total amount paid or payable by Client to Service Provider under this Agreement in the six months preceding the event giving rise to the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

The Parties shall attempt in good faith to resolve disputes promptly by negotiation between executives. If unresolved within 30 days, the Parties may pursue any remedy available at law or in equity in the state or federal courts located in the governing jurisdiction.

Entire Agreement; Amendment; Assignment

Entire Agreement: This Agreement, including any exhibits or change orders executed by the Parties, constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior agreements, understandings, and representations.

Amendment: No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both Parties.

Assignment: Neither Party may assign its rights or delegate its duties under this Agreement without the other Party's prior written consent, except to a successor in interest in connection with a merger or sale of substantially all assets.

Miscellaneous Provisions

Notices: All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in this Agreement or as updated by the Parties in writing.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
