CLIENT RETAINER AGREEMENT

This Client Retainer Agreement (the Agreement) is entered into by and between:

Recitals

WHEREAS, the Client desires to engage the Service Provider to perform professional services described herein and to retain the Service Provider on the terms set forth in this Agreement; and

WHEREAS, the Service Provider represents that it has the qualifications, experience, and ability to provide the services described in this Agreement; and

WHEREAS, the parties intend that the Service Provider will perform such services in exchange for the compensation and on the terms set forth below, and that this Agreement shall govern their relationship.

Scope of Work

The Service Provider shall perform the services described below. The parties acknowledge that the description constitutes the scope of work and any material changes shall require written amendment signed by both parties.

Payment Terms

The Client shall pay the Service Provider for services rendered in accordance with the following terms.

Overdue invoices shall accrue interest at the rate of % per month (or the maximum permitted by law, if less). In addition, the Client shall be responsible for reasonable collection costs, including attorneys' fees.

Term and Termination

This Agreement shall commence on and continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party upon written notice if the breach remains uncured for the notice period set forth above. The Service Provider may suspend performance if payments are more than thirty (30) days overdue.

Confidentiality

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that is: (a) generally known to the public through no breach of this Agreement; (b) rightfully received from a third party without restriction; (c) already in the receiving party's possession prior to disclosure; or (d) independently developed without use of the disclosing party's Confidential Information.

The receiving party shall: (i) hold the Confidential Information in strict confidence; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) limit disclosure to employees, contractors, or agents who have a need to know and who are bound by substantially similar confidentiality obligations. The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

Entire Agreement

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be made in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the other party's prior written consent, except that the Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

The parties acknowledge that they have had the opportunity to consult with counsel of their choice and that any rule of construction requiring interpretation against the drafter shall not apply.
