RECITALS

WHEREAS, Client desires to retain the Service Provider to perform the services described below, and Service Provider has the experience and capacity to perform such services on the terms set forth in this Retainer Letter; and

WHEREAS, the parties wish to set forth the terms of their engagement, including the scope of work, fees, retainer application, confidentiality and termination procedures effective as of the Effective Date set forth above.

SCOPE OF WORK

The Service Provider shall perform the services described above in a professional and timely manner, consistent with applicable industry standards. Any material change to the scope of work shall be documented in a written amendment signed by both parties, and may be subject to additional fees.

PAYMENT TERMS

The parties agree that fees will be charged as follows:

Invoices not paid within days of the invoice date shall accrue interest at compounded monthly, and Client shall also be responsible for reasonable collection costs and attorney fees incurred to collect overdue amounts.

TERM AND TERMINATION

This engagement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this engagement upon days' prior written notice to the other party. Service Provider may also suspend work if invoices are outstanding beyond the grace period specified above. Termination does not relieve Client of the obligation to pay for services rendered and expenses incurred through the effective date of termination.

CONFIDENTIALITY

For purposes of this Retainer Letter, "Confidential Information" means non-public information disclosed by one party to the other in connection with the engagement. Each party shall maintain the confidentiality of the other's Confidential Information and shall not disclose it to third parties except (a) with prior written consent, (b) to the extent necessary to perform the services, or (c) as required by applicable law or court order, provided that the receiving party gives prompt notice to the disclosing party to permit intervention or protective measures. Confidentiality obligations shall survive termination of this engagement for a period of three (3) years, except for trade secrets which shall be protected to the extent permitted by law.

REPRESENTATIONS AND WARRANTIES

Each party represents that it has the authority to enter into this Retainer Letter and that performance of its obligations will not violate any applicable agreement or law. Service Provider warrants that it will perform services in a competent and professional manner in accordance with customary standards for similar services.

GOVERNING LAW; DISPUTE RESOLUTION

This Retainer Letter shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Any dispute arising out of or relating to this Retainer Letter shall be resolved by the state or federal courts located in that state, and each party consents to personal jurisdiction and venue therein.

ENTIRE AGREEMENT

This Retainer Letter, together with any written amendments executed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No modification of this Retainer Letter shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Retainer Letter is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Retainer Letter without the prior written consent of the other party, except that Service Provider may assign accounts receivable in connection with financing arrangements.
