Termination for Convenience: Either party may terminate this Agreement for convenience upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of notice specifying the breach.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement, whether orally, visually or in writing, that is designated confidential or would reasonably be understood to be confidential.

Obligations: Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to third parties except as expressly permitted in this Agreement, and (c) use it solely to perform obligations or exercise rights under this Agreement. Receiving party shall take reasonable measures to protect Confidential Information from unauthorized disclosure.

Exceptions: Confidential Information does not include information that: (i) is or becomes publicly known through no breach by the receiving party; (ii) is rightfully received from a third party without breach of obligation; (iii) is independently developed without use of Confidential Information; or (iv) required to be disclosed by law, provided receiving party gives prompt notice and cooperates with disclosing party to seek protective measures.

Duration: Confidentiality obligations survive for a period of following termination or expiration of this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflict of laws principles.

Resolution: The parties shall attempt in good faith to resolve disputes promptly by negotiation. If the parties cannot resolve a dispute within days, the dispute may be submitted to mediation or other mutually agreed alternative dispute resolution prior to any court proceeding.

MISCELLANEOUS

Entire Agreement: This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, proposals, and communications, whether oral or written.

Amendments: Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Representations and Warranties: Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder.

Limitation of Liability: Except for willful misconduct or fraud, neither party shall be liable to the other for consequential, incidental, special or punitive damages arising out of this Agreement. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total fees paid by Client under this Agreement during the preceding twelve (12) months.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices shall be deemed given upon delivery by hand, overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid.
