If Client fails to pay any undisputed amount when due, Seller may suspend performance after providing seven (7) days' written notice.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the effective termination date. Termination for cause may be immediate upon written notice if the non‑defaulting party reasonably determines the other party has materially breached and fails to cure such breach within thirty (30) days after receipt of written notice.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial, or personal information disclosed in any form that is designated as confidential or that a reasonable person would understand to be confidential. Each party shall (i) use Confidential Information solely to perform its obligations under this Agreement, (ii) restrict disclosure to its employees and contractors with a need to know and subject to confidentiality obligations at least as protective as those herein, and (iii) not disclose Confidential Information to third parties without prior written consent, except as required by law. Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets which shall survive as long as permitted by applicable law.

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Seller warrants that services will be performed with reasonable skill and care in accordance with industry standards. EXCEPT AS EXPRESSLY PROVIDED HEREIN, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without giving effect to conflict of law principles. The parties shall attempt in good faith to resolve any dispute arising from or related to this Agreement through negotiation. If unresolved within sixty (60) days, the parties may pursue any available remedies in the courts located in the governing state chosen above.

Entire Agreement
