WHEREAS

WHEREAS, Client seeks to engage Service Provider to perform professional services described in this Application and Agreement under the terms and conditions set forth herein; and

WHEREAS, Service Provider represents that it has the necessary qualifications, experience, and personnel to perform the requested services and agrees to provide such services in accordance with the specifications and schedules mutually agreed upon by the parties; and

WHEREAS, the parties desire to set forth their respective responsibilities, payment terms, confidentiality obligations, and dispute resolution provisions in writing.

Applicant Information

Payment Terms

Client agrees to pay Service Provider the fees set forth below in exchange for the services described in the Scope of Work. All fees are exclusive of applicable taxes unless otherwise stated.

Unless otherwise agreed in writing, undisputed invoices not paid within the payment terms shall accrue interest as specified above and Service Provider may suspend services after providing written notice of nonpayment and a reasonable cure period.

This Agreement commences on the Effective Date and continues until the completion of the Scope of Work or the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period after receipt of written notice specifying the breach. "Confidential Information" means non-public information disclosed in any form that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure.

The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) limit disclosure to its employees, agents, or subcontractors who need to know and who are bound by confidentiality obligations no less protective than those contained herein, and (c) not disclose Confidential Information to any third party except as required by law, provided that the receiving party gives prompt notice and cooperates in any lawful effort to obtain confidential treatment.

Representations and Warranties

Each party represents that it has the authority to enter into this Agreement and that entering into and performing its obligations will not violate other agreements to which it is subject. Client represents that information provided in this Application is true and complete to the best of its knowledge.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflicts of laws principles. The parties agree to attempt resolution of disputes through good faith negotiation and, if unresolved, to submit the dispute to binding arbitration in that jurisdiction unless the parties mutually agree otherwise in writing.

Entire Agreement

This Application, together with any attached Schedules, Exhibits, or Statements of Work executed by the parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

What the Client Service Application is and when it’s used

A Client Service Application is a standardized form used to collect essential information from prospective or returning clients before delivering services. It typically gathers legal name, contact details, tax identifiers, billing and payment preferences, scope of services, and authorizations for background checks or data sharing. Organizations use the form to assess eligibility, document consent, set billing terms, and create client records that support onboarding, regulatory compliance, and service delivery. The application serves as the primary administrative record linking client identity, contract terms, and operational approvals.

Why a well-prepared Client Service Application matters

A complete, accurate Client Service Application reduces onboarding delays, supports legal and tax compliance, and creates a reliable audit trail for client decisions and consent. Proper design minimizes rework, clarifies billing and scope, and documents required permissions for regulated industries such as healthcare and finance.

Why a well-prepared Client Service Application matters

Who typically completes or reviews the Client Service Application

The Client Service Application is completed by prospective clients and reviewed by the provider’s onboarding or account team before services begin.

  • Prospective Clients: Fill fields about identity, contact, and payment; consent to background checks and data uses as required.
  • Onboarding Specialists: Verify entries, run identity and compliance checks, and escalate issues to legal or risk teams.
  • Account Managers: Confirm service scope, pricing, and recurring billing arrangements before final acceptance and activation.

Review responsibilities commonly include identity verification, risk checks, and approval for contract execution or account creation.
