Recitals

WHEREAS, Service Provider Name: is engaged in providing periodic client check-in, progress monitoring, and related ancillary services (the "Services");

WHEREAS, Client Name: desires periodic check-ins to review status, provide brief guidance, and document updates in connection with the Services; and

WHEREAS, the parties desire to set forth the terms governing check-in interactions, payment, confidentiality, and limitation of liability.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach may occur immediately upon written notice if the breaching party fails to cure within a commercially reasonable period.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other in connection with the Services, including but not limited to client records, business information, and personal data.

Obligation: Receiving party shall maintain Confidential Information in strict confidence, shall not use such information except to perform obligations under this Agreement, and shall not disclose it to third parties except to employees, agents, or contractors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidentiality does not apply to information that (a) was known to the receiving party prior to disclosure, (b) is or becomes public through no breach by the receiving party, (c) is rightfully received from a third party without restriction, or (d) is required to be disclosed by law or by order of a court or governmental authority, provided, where permitted, prior notice is given to the disclosing party.

Limitation of Liability

EXCEPT FOR A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS. PROVIDER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.
