Client Service Order Agreement

This Client Service Order Agreement (the Agreement) is entered into as of between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to procure certain services from Service Provider as further described in this Agreement and in the attached Scope of Work; and

WHEREAS, Service Provider represents that it has the professional capability, personnel, and resources necessary to perform such services and agrees to perform those services in accordance with the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

Scope of Work

Service Provider shall perform the services described above in a professional and workmanlike manner consistent with industry standards and within the schedule agreed by the parties. Any material changes to the Scope of Work shall be made only by written amendment signed by both parties and may adjust fees and schedule as appropriate.

Payment Terms

Invoices issued by Service Provider are payable within days of receipt unless otherwise agreed in writing. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, and Client shall be liable for all reasonable collection costs.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days’ prior written notice to the other party. Either party may terminate immediately for material breach by the other party that remains uncured for 30 days following written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party (Recipient) shall keep confidential all non-public information disclosed by the other party (Discloser) that is designated as confidential or that reasonably should be understood to be confidential, including business, technical and financial information ("Confidential Information"). Recipient shall not use Confidential Information except to perform its obligations under this Agreement and shall protect it with at least the same degree of care it uses for its own confidential information but no less than reasonable care.

Confidential Information does not include information that: (a) is or becomes public other than by breach of this Agreement; (b) was lawfully in Recipient's possession prior to receipt from Discloser; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of Discloser’s Confidential Information. Recipient may disclose Confidential Information to its employees, agents, or subcontractors on a need-to-know basis provided they are bound by confidentiality at least as protective as this clause. Remedies at law for breach may be inadequate; Discloser is entitled to equitable relief in addition to other remedies.

Independent Contractor; Assignment

Service Provider is an independent contractor and nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship. Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other, except that Service Provider may assign to an affiliate or to a purchaser of substantially all of its assets or business related to this Agreement.

Representations; Warranties

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations. Service Provider further warrants that services will be provided in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of disputes.

Entire Agreement; Amendment

This Agreement, including any exhibits and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Limitations of Liability

Except for liability arising from breach of confidentiality, willful misconduct, or gross negligence, neither party shall be liable for indirect, incidental, special, or consequential damages. Each party’s aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

Notices

Any notice required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as a party may designate by notice in accordance with this section. Notice shall be effective upon receipt.
