WHEREAS, Client desires to obtain certain professional services from Service Provider as set forth in this Service Order Form (the "Order"); and

WHEREAS, Service Provider represents that it possesses the experience, personnel and resources necessary to perform the services described herein and is willing to accept the Order on the terms and conditions set forth below; and

WHEREAS, the Parties intend that this Order, together with any attachments or referenced exhibits, constitute a binding contract for the provision of services on the terms below.

Either Party may terminate this Order for material breach by the other Party if the breach remains uncured for days after written notice. Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination.

Confidentiality

Each Party shall maintain in strict confidence all non-public information disclosed by the other Party that is marked confidential or would reasonably be understood to be confidential ("Confidential Information"). Confidential Information shall not include information that is publicly known through no breach by the receiving Party, independently developed without use of the disclosing Party's Confidential Information, or rightfully received from a third party without restriction. The receiving Party shall use Confidential Information solely to perform obligations under this Order and shall restrict access to employees and contractors who have a need to know and are bound by confidentiality obligations no less protective than those in this Order.

Change Orders

Client may request changes to the Scope of Work. No change shall be effective unless agreed in writing by authorized representatives of both Parties and signed as a Change Order specifying adjustments to scope, price, and schedule.

Representations and Limitations

Each Party represents that it has full corporate power and authority to enter into and perform this Order. Service Provider's total liability arising from or related to this Order shall not exceed the total fees paid by Client for the services giving rise to such liability. Neither Party shall be liable for indirect, incidental, consequential or punitive damages except to the extent arising from gross negligence or willful misconduct.

Governing Law and Venue

This Order shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Order.

Entire Agreement; Amendments

This Order, including any referenced attachments and executed Change Orders, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior proposals, negotiations and representations, whether written or oral. Any amendment or modification of this Order must be made in writing and signed by authorized representatives of both Parties.
