Payment Terms

Provider shall invoice Client in accordance with the payment schedule below. Client shall pay all undisputed invoices within days of invoice date. All payments shall be made in U.S. dollars unless otherwise agreed in writing.

Late payments will accrue interest at the lesser of per month or the highest amount permitted by applicable law. In addition, Client shall be responsible for reasonable collection and legal costs incurred by Provider in enforcing payment.

Term and Termination

This Order commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Order for convenience upon days' prior written notice. Either party may terminate for material breach if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach.

Termination does not relieve Client of its obligation to pay for services performed and expenses incurred prior to the effective date of termination, including reasonable wind-down costs.

Confidentiality

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that (i) is or becomes publicly available other than through breach of this Order; (ii) is already known to the Receiving Party without restriction at the time of disclosure; (iii) is lawfully obtained from a third party without breach; or (iv) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use Confidential Information solely to perform its obligations under this Order, shall restrict access to those employees, contractors, and agents who need to know, and shall return or destroy Confidential Information upon written request. Confidentiality obligations survive termination for a period of two (2) years, except for trade secrets which remain protected for so long as they remain trade secrets under applicable law.

Client and Provider acknowledge that Confidentiality obligations are a material term of this Order.

Governing Law

This Order shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising under this Order, subject to any arbitration provisions agreed in writing.

Entire Agreement

This Order, together with any exhibits, attachments and referenced statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
