Confidentiality

Confidential Information means non-public business, technical, financial or other information designated as confidential or which the receiving party should reasonably understand to be confidential. Confidentiality obligations shall survive termination of this Quote for a period of three (3) years.

Representations and Warranties

Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS QUOTE, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

Limitation of Liability

Except for liability arising from gross negligence or willful misconduct, neither party will be liable to the other for special, incidental, consequential or punitive damages. Except as otherwise provided, aggregate liability shall not exceed the total amount paid by Client under this Quote.

Governing Law and Dispute Resolution

This Quote shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict-of-law principles. The parties shall first attempt good faith negotiation to resolve disputes before pursuing any formal legal action.

Entire Agreement
