WHEREAS, Client wishes to engage Service Provider to perform certain professional services as described in this request and the Scope of Work below; and

WHEREAS, Service Provider represents that it has the necessary expertise, personnel, and resources to perform the requested services in accordance with the terms and conditions of this agreement; and

NOW, THEREFORE, the parties agree that Service Provider shall perform the services requested by Client and Client shall pay Service Provider in accordance with the Payment Terms set forth below.

Scope of Work

Service Provider shall perform the services described below. All tasks, deliverables, milestones, and acceptance criteria must be recorded in the Scope of Work. Deviations from the Scope of Work shall require written change orders executed by both parties.

Payment Terms

Client agrees to pay Service Provider the fees set forth below in exchange for performance of the Scope of Work. Fees are exclusive of taxes unless otherwise stated.

Term and Termination

This Request and any resulting agreement shall commence on Start Date and continue until completion of the Scope of Work or until terminated in accordance with this section.

Either party may terminate for material breach if such breach is not cured within the notice period set forth above. Termination by Client for convenience shall require payment for all services performed and reasonable costs incurred through the effective date of termination.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that: (a) is or becomes publicly known without breach; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party gives prompt notice and cooperates with the other party to seek protective measures.

Upon termination or expiration of this Request, each party shall promptly return or destroy the other party's Confidential Information and certify such return or destruction upon written request.

Governing Law

This Request and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of: without regard to its conflict of laws principles.

Entire Agreement

This Client Service Request Form, together with any documents expressly incorporated herein (including the Scope of Work and any executed change orders), constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications. Any amendment must be in writing and signed by authorized representatives of both parties.
