Recitals

WHEREAS, Transferor currently provides the services described below to Client under the agreement, account, or engagement identified above; and

WHEREAS, Transferor desires to transfer and Transferee desires to accept responsibility for the performance and management of those services for Client effective as of ; and

WHEREAS, Client has consented to or will be notified of the transfer as required by applicable agreement terms and law, and the parties wish to set forth the terms and conditions of the transfer.

Scope of Work

The services, deliverables, assets, and client responsibilities to be transferred from Transferor to Transferee are described below. Transferee shall assume responsibility for ongoing performance and shall comply with all material obligations applicable to such services from the effective date.

Payment Terms

Any fees, credits, or charges arising from the transfer or associated with the ongoing provision of services shall be governed by the terms below. Transferor and Transferee agree to the following payment allocation and invoicing procedure.

Invoices required by this transfer shall be issued in accordance with the payment schedule above. Each party shall separately invoice for amounts it is entitled to receive and shall cooperate to avoid double-billing the Client. Taxes, if applicable, shall be the responsibility of the party required by law to collect or remit such taxes.

Term and Termination

This transfer agreement is effective as of and shall continue until unless earlier terminated in accordance with this section.

Upon termination of the transfer, each party shall cooperate to effect an orderly transition of services and return or securely destroy confidential materials as provided below. Termination does not relieve either party of obligations accrued prior to termination.

Confidentiality

Each party (the Recipient) shall maintain the confidentiality of Confidential Information disclosed by the other party (the Discloser) in connection with the transfer. "Confidential Information" includes client data, account records, pricing, proprietary processes, and any other information reasonably designated as confidential.

The Recipient shall (a) use Confidential Information solely to effectuate the transfer and perform the services; (b) restrict access to employees and subcontractors who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein; and (c) not disclose Confidential Information except as required by law or with the prior written consent of the Discloser.

Representations and Warranties

Each party represents and warrants that it has full authority to enter into this transfer and to perform its obligations hereunder, that the transfer will not violate material agreements or legal obligations, and that all information provided to the other party in connection with the transfer will be true and complete in all material respects.

Governing Law

This Form and the rights and obligations of the parties under it shall be governed by and construed in accordance with the laws of the state of , without giving effect to principles of conflict of laws that would result in the application of the laws of another jurisdiction.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of breach of this Form or the negligent or willful acts of the indemnifying party in connection with the transferred services, except to the extent caused by the indemnitee's own gross negligence or willful misconduct.

Entire Agreement; Amendments

This Form constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written proposals, understandings and agreements relating to such subject matter. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Form is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Form without the prior written consent of the other, except that Transferee may assign to an affiliate or successor in connection with a sale of substantially all of its assets.
