WHEREAS, Client Name: desires to obtain certain professional services from Service Provider Name: ; and

WHEREAS, Service Provider has the expertise and capacity to perform the services described below and is willing to perform such services on the terms set forth in this Engagement Letter effective as of Effective Date: .

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Service Provider shall perform the services described below (the "Services"). The Services shall include all work described in the scope and any deliverables specified. Any change to the Scope of Work shall be agreed in writing and signed by both parties.

Payment Terms

Client shall pay Service Provider the fees and expenses set forth below in consideration for the Services. All fees are exclusive of applicable taxes unless otherwise stated.

Invoices shall be submitted to Client in accordance with the Payment Schedule and are due within days of invoice date. Past due amounts shall accrue interest at a rate of % per month (or the maximum permitted by law), calculated monthly on the unpaid balance. Client shall reimburse Service Provider for pre-approved, reasonable out-of-pocket expenses incurred in connection with the Services.

Term and Termination

This Engagement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Engagement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for cause if the other party materially breaches its obligations and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Upon termination, Client shall pay Service Provider for Services performed and approved expenses incurred through the effective date of termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Receiving Party shall (a) hold Confidential Information in strict confidence and take reasonable measures to protect it, (b) use Confidential Information solely to perform under this Engagement, and (c) not disclose Confidential Information to any third party except to its employees, contractors, or advisors with a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidential Information does not include information that: (i) is or becomes publicly available without breach; (ii) was rightfully known to Receiving Party prior to disclosure; (iii) is received from a third party without breach of an obligation; or (iv) is independently developed. Upon written request or termination, Receiving Party shall return or destroy Confidential Information and certify such return or destruction.

Representations; Limitation of Liability

Each party represents that it has the authority to enter into this Engagement. Service Provider will perform the Services in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, SERVICE PROVIDER'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS ENGAGEMENT SHALL BE LIMITED TO THE AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS ENGAGEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR INDIRECT DAMAGES.

Governing Law

This Engagement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for any disputes arising out of this Engagement.

Entire Agreement and Amendment

This Engagement Letter, together with any appendices, exhibits or mutually executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices under this Engagement shall be in writing and delivered to the addresses indicated below or to such other address as a party may designate by written notice. Notices shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in the mail, first-class postage prepaid.
