CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that: (i) is or becomes generally known to the public through no fault of the recipient; (ii) was rightfully known by the recipient prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed without use of the disclosing party’s Confidential Information.

The recipient may disclose Confidential Information if required by law or court order, provided the recipient gives the discloser prompt written notice and reasonably cooperates with any efforts to limit disclosure. Breach of this confidentiality provision will entitle the non-breaching party to injunctive relief and any other remedies available at law or equity.

GOVERNING LAW

This Client Session Form shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. Venue for any dispute arising out of or relating to this Form shall be in the state or federal courts located in the same state.

ENTIRE AGREEMENT
