Recitals

WHEREAS, Client engages Service Provider to perform professional services described herein, and Service Provider represents that it possesses the skills, experience, and resources required to perform such services in a competent and timely manner; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other terms governing the engagement in this written agreement to avoid misunderstandings and to provide a clear basis for the relationship; and

WHEREAS, the parties agree that work shall commence on the Effective Date and continue in accordance with the terms below unless earlier terminated in accordance with this agreement.

Scope of Work

Payment Terms

Client shall pay Service Provider the fees set forth below in exchange for the services rendered. Fees are exclusive of taxes, which are the responsibility of the party required by law to pay them.

Term and Termination

This agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Either party may also terminate immediately for material breach that remains uncured for a period of 14 days after written notice of breach.

Confidentiality

For the purposes of this agreement, "Confidential Information" means all non‑public information provided by one party to the other, whether oral, written, electronic, or otherwise, that is clearly identified as confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure. Confidential Information excludes information that is (a) publicly known through no breach of this agreement; (b) already known by the receiving party without obligation of confidentiality; (c) rightfully received from a third party without duty of confidentiality; or (d) independently developed without use of the disclosing party's Confidential Information.

The receiving party shall (i) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own similar information, but in no event less than reasonable care; (ii) not disclose Confidential Information to any third party except to employees, contractors, or agents with a need to know who are bound by confidentiality obligations no less protective than those herein; and (iii) use Confidential Information solely for the performance of this agreement.

Governing Law

This agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties agree that disputes shall be resolved in the state or federal courts located in that state.

Entire Agreement; Miscellaneous

This agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, or understandings, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

If any provision of this agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver by either party of any breach shall be deemed a waiver of any subsequent breach.

By signing below, each party represents and warrants that it has the full right, power and authority to enter into this agreement, that the signatory is authorized to bind the party, and that the party will comply with the terms of this agreement.
