Confidentiality

Each party shall maintain in strict confidence all Confidential Information disclosed by the other party and shall not use or disclose such information except as necessary to perform its obligations under the Agreement. Confidential Information does not include information that is (a) now or hereafter becomes generally available to the public through no fault of the receiving party; (b) rightfully received by the receiving party from a third party without restriction; or (c) independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information. Upon termination or written request, the receiving party shall return or destroy all Confidential Information as directed by the disclosing party.

Governing Law

This Client Sign Page and all disputes arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement
